Public Offer Agreement

1. TERMS AND DEFINITIONS

• 1.1. Public Offer — a public proposal of the Provider, addressed to any person, to conclude an agreement under the terms contained in this Agreement.
• 1.2. Platform (Service) — the GRONIX.AI software suite, accessible via the Internet, providing functionality of digital AI employees for automating communications and business processes.
• 1.3. SaaS (Software-as-a-Service) — a software licensing and delivery model in which cloud software is accessed online without installing software copies on User devices.
• 1.4. Acceptance — full, unconditional, and unreserved acceptance by the User of the terms of this Agreement by registering on the Website or making payment for services.

2. SUBJECT OF THE AGREEMENT

2.1. The Provider undertakes to provide the User with services granting access to the GRONIX.AI cloud platform (SaaS), including setup of digital assistants, channel integrations, and knowledge base management, and the User undertakes to pay for such services in accordance with the chosen Subscription Plan.

3. PROCEDURE FOR CONCLUDING THE AGREEMENT (ACCEPTANCE)

3.1. The Agreement is considered concluded without signing a bilateral written copy upon the occurrence of any of the following actions by the User:

• creating an account on the Platform's Website;
• making full or partial payment for the chosen Plan via the LiqPay payment gateway (JSC CB 'PRIVATBANK').

3.2. By completing the Acceptance, the User confirms being fully acquainted with the terms of this Agreement, Privacy Policy, and Refund Policy.

4. SERVICE COST AND PAYMENT TERMS

4.1. The cost of access is determined in accordance with the Plans published on the Website:

• Plan 'Intern': 0.00 UAH / mo;
• Plan 'Operator': equivalent of 9.50 EUR/mo in UAH at the NBU official rate;
• Plan 'Integrator': equivalent of 19.50 EUR/mo in UAH at the NBU official rate.

4.2. Payments are made non-cash in the national currency of Ukraine (Hryvnia, UAH) via bank cards through the LiqPay payment gateway.

4.3. Access to paid subscriptions renews automatically on a monthly basis until canceled by the User in their account settings.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

• 5.1. The Provider undertakes to ensure service availability 24/7 (excluding scheduled maintenance of no more than 4 hours per month).
• 5.2. The User agrees not to use the Platform for distributing malware, spam, false information, or violating the laws of Ukraine.

6. TERM OF THE AGREEMENT AND TERMINATION

• 6.1. The Agreement enters into force from the moment of Acceptance and remains effective throughout the paid subscription period.
• 6.2. The User has the right to cancel further subscription renewal at any time within the Service interface.
